User Obligations

- Payment terms are typically 30 days from invoice date
- Late payments may incur additional charges as permitted by law
- All fees are non-refundable unless expressly stated otherwise
- You are responsible for all taxes and duties related to your use of our services
We reserve the right to suspend services for overdue accounts and to pursue collection of outstanding amounts through appropriate legal means.
Intellectual Property
All content, materials, and intellectual property associated with our services, including but not limited to software, platforms, methodologies, documentation, trademarks, and copyrights, are owned by cosmolcolor or our licensors and are protected by intellectual property laws.
We grant you a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms. This licence does not include the right to:
- Modify, copy, or create derivative works of our platforms or content
- Reverse engineer or attempt to extract source code from our software
- Remove or alter any proprietary notices or labels
- Use our intellectual property for competitive purposes
- Transfer or sublicense your rights to third parties
Any feedback, suggestions, or ideas you provide regarding our services may be used by cosmolcolor without restriction or compensation.

Both parties agree to maintain confidentiality and use such information solely for the purposes of the service relationship.
Data Protection and Privacy
We are committed to protecting your privacy and personal data in accordance with applicable data protection laws, including the UK GDPR and EU GDPR. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using our services, you consent to the collection and use of your information as described in our Privacy Policy. If you provide personal data of third parties (such as employees or contacts), you warrant that you have obtained necessary consents and authorisations.
Limitation of Liability
To the maximum extent permitted by applicable law, cosmolcolor's liability for any claims arising out of or relating to these Terms or our services is limited as follows:
- Our total liability shall not exceed the amount paid by you for our services in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for any loss of profits, revenue, data, or business opportunities
- Our liability for data loss is limited to the cost of recreating lost data from available backups
These limitations apply regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability, so these limitations may not apply to you.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Indemnification
You agree to indemnify, defend, and hold harmless cosmolcolor, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- Your use of our services in violation of these Terms
- Your violation of any applicable laws or regulations
- Your infringement of any intellectual property or other rights of third parties
- Any content or data you provide through our services
This indemnification obligation survives termination of these Terms and your use of our services.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or internet service interruptions.
In the event of force majeure, the affected party will promptly notify the other party and make reasonable efforts to minimise the impact and resume performance as soon as possible.
Governing Law
These Terms and any disputes arising out of or relating to our services shall be governed by and construed in accordance with the laws of Scotland and the United Kingdom, without regard to conflict of law principles.
Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Scotland, and the parties hereby consent to personal jurisdiction and venue therein. For clients in the European Union, this choice of law and jurisdiction is subject to mandatory consumer protection laws in your country of residence.
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
Dispute Resolution
We encourage resolution of disputes through direct communication. If a dispute cannot be resolved through informal discussions, we may agree to participate in mediation before pursuing formal legal proceedings.
For clients in the European Union, you may also have the right to use the European Commission's Online Dispute Resolution platform for consumer disputes.
Termination
Either party may terminate the service relationship at any time with appropriate notice as specified in the relevant service agreement. We may also terminate or suspend your access to our services immediately if:
- You breach any provision of these Terms
- You fail to pay fees when due
- Your use of our services poses a security or legal risk
- We are required to do so by law or regulatory authority
Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, confidentiality, limitation of liability, and governing law) will remain in effect.
We will provide reasonable assistance in transitioning your data and configurations, subject to applicable fees and technical constraints.
Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and cosmolcolor regarding our services and supersede all prior agreements and understandings, whether written or oral.
No waiver of any provision of these Terms will be deemed or shall constitute a waiver of any other provision. Any waiver must be in writing and signed by the party to be charged.
